1: QUALIFICATIONS ZA KUWA MKURUGENZI WA KAMPUNI (DIRECTOR):
Sifa (qualifications) za kuwa director wa kampuni zinapatikana kwenye Sheria ya Makampuni ya Tanzania (the Companies Act), ya mwaka 2002. Ukisoma kifungu cha 194.
(i): Kwanza ni kigezo cha umri: Je, director anatakiwa kuwa na umri gani? Zamani, sheria ilikua inataka director awe na umri kuanzia miaka 21 na mwisho miaka 70. Ukifikisha miaka 70 ulitakiwa kustaafu.
Sheria hiyo zamani ilikua inasomeka hivi, nanukuu section 194(1) ya zamani (previous minimum age for appointment of directors and retirement);
“Subject to the provisions of this section, no person shall be capable of being appointed a director of a company which is subject to this section if at the time of his appointment he had not attained the age of twenty one or he has attained the age of seventy.”
Sub section “(2) Subject as above, a director of a company which is subject to this section shall vacate his office at the conclusion of the annual general meeting commencing next after he attains the age of seventy”
AFTER AMENDMENT
Kifungu hiki cha 194 kimefanyiwa marekebisho mwaka 2021 na sheria inaitwa “The Written Laws (Miscellaneous Amendments) (No. 3) Act, 2021.” (The Companies Act has been amended in section 194), ambapo kwa sasa sheria imefuta sharti la director kuwa na miaka 21 na badala yake imeweka kuanzia miaka 18 na imefuta umri wa kustaafu wa miaka 70.
(ii): Sifa ya pili lazima uwe na akili timamu na usiwe disqualified (hauruhusiwi) kisheria na sheria yoyote ile inayohusu wakurugenzi. Mfano usiwe umefilisika. Section 38 na 83 ya Sheria ya Makampuni
(iii): Elimu, hakuna sifa ya elimu au taaluma, sheria haiweki masharti ya mtu kuwa na ujuzi au taaluma yoyote ili kuwa director (mkurugenzi) wa kampuni. Ni juu yenu wanachama wenyewe kuchagua mtu mnayeona anawafaa.
2: QUALIFICATIONS ZA KUWA SECRETARY WA KAMPUNI:
Sifa za kuwa secretary wa kampuni zinapatikana kwenye Sheria ya Makampuni ya Tanzania (The Companies Act), ya mwaka 2002. Ukisoma kifungu cha 187.
Zamani, sheria ilikua haiweki sifa maalum za kuwa secretary, ilikua inasema tu awe mtu ambae kampuni mnaona ana ujuzi na uzoefu unaotakiwa.
Nanukuu, section 187(1) ya zamani (BEFORE AMENDMENT) ilikuwa inasema “Every company shall have a Secretary.”
Sub section 2 (before amendment)
“It is the duty of the directors of a public company to take all reasonable steps to secure that the Secretary (or each joint secretary) of the company is a person who appears to them to have the requisite knowleedge and experience to discharge the functions of the Secretary of a public company.”
AFTER AMENDMENT
Kifungu hiki cha 187(2) kimefanyiwa marekebisho mwaka 2021 na sheria inayoitwa the Written Laws (Miscellaneous Amendments) (No. 3) Act, 2021.
(The Companies Act was amended in section 187 by deleting sub section (2) and substituting for it the following).
“(2) It shall be the duty of the directors-
(a) in the case of a PUBLIC COMPANY, to take all reasonable steps to secure a secretary, or each joint secretary of the company who is a person qualified as AN ADVOCATE, CERTIFIED PUBLIC ACCOUNTANT, AUDITOR or such other qualifications as the Minister may prescribe in the regulations; and
(b) in the case of a PRIVATE COMPANY, to take all reasonable steps to secure a secretary, or each joint secretary of the company who appears to them to have the requisite knowledge and experience of discharging the functions of the secretary of a private company.”.
Hivyo kwa sasa, sheria inasema ili mtu awe secretary, kama ni public company lazima awe Advocate, certified public accountant, auditor n.k, ila kwa upande wa private company sheria haiweki sifa maalum za kuwa secretary, bado inasema tu awe mtu ambae kampuni inaona ana ujuzi na uzoefu unaotakiwa kutekeleza majukumu ya secretary.
