Japo nachelea kusema mambo yafuatayo:
Mosi, hakuna jina la Mkurugenzi/Katibu/Meneja au Kiongozi wa kampuni ambalo haliko BRELA. Kifungu cha 210 cha Companies Act kinataka Wakurugenzi/Makatibu wote ndani ya kampuni kupeleka majina yao kwa msajili wa BRELA kila baada ya muda. Hili linasaidia mambo mengi, mojawapo ni Pinpointing Director's Liability.
Nashangaa sana unavyokazana kusema kwamba majina ya wakurugenzi na makatibu hayapo BRELA. Huenda nafanya mjadala na mtu anayezungumzia kampuni ndogo, tena binafsi (A Private Company) yenye mtaji wa milioni 100 labda, lakini katika dhana nzima ya shirika/kampuni kubwa (Multinational Corporations) wakurugenzi ni wengi na wamegawanyika, na lazima majina yao yapelekwe kwa msajili wa makapuni.
Ukisoma kwa undani kabisa utatambua zaidi kwamba siyo kila Director ni Executive au Residential. Kuna Non-Executive au Non-Residential Directors: Lakini wote wanatambulika kisheria kama Directors/Wakurugenzi na kila mtu ana kazi yake ya kiuongozi ndani ya kampuni (Lakini hawa wote ni wakurugenzi). Ukitembelea Egalitarian Societies kama Scandinavia sheria imeweka ulazima kabisa kwamba lazima wawe na A Woman's Director ndani ya kampuni, pindi inaposajiliwa
Pili, napata shida sana unaposema Companies Act inakataza mkurugenzi moja kuwa juu ya mwingine. Kiufupi nifahamuvyo mimi au labda nina uelewa mdogo. Companies Act inatoa mwongozo wa jumla wa jinsi gani mfumo mzima wa kampuni untakiwa uwe. Ila suala zima la mkurugenzi yupi anawajibika kwa yupi au idadi ya wakurugenzi na majukumu yao liko ndani ya MEMART na ndiko tunapata Organogram ya kampuni. Sasa usilazimishe kwamba wakurugenzi ni lazima wawe sawa.
Wanaoamua wakurugenzi waweje na katika mfumo gani kwenye kampuni la wazi (Public Companies) ni shareholders. Hawa ndiyo huamua nini kiwe nini kwenye MEMART na vikao vyao (Annual & Extra-Ordinary Meetings) na siyo Companies Act.
Lakini pia kuna wakati mwingine makampini yakiwa makubwa Directorship yake hufanywa hata na Kampuni jingine. Hivyo kampuni jingine kubwa (A Holding Company) linaweza kuwa mkurugenzi kwa kampuni jingine dogo ( A Subsidiary). Mkurugenzi wa A Holding Company huwa anakuwa mkubwa kuliko mkurugenzi wa A Subsidiary Company. Mkuu wewe unaendelea kuzalimisha tu ??? Hebu nikupe kifungu cha sheria basi, Soma kifungu (Section) 487 of Companies Act.
Tatu, hata Mkurugenzi (A Director) naye ni mwajiriwa, hatakuwa mwajiriwa endapo tu yeye naye ni mwanahisa (A Shareholder). Unavyosema kwamba usipokuwa mkurugenzi wewe ni mwajiriwa tu, sijakuelewa vizuri. Maana Mkurugenzi wa kampuni la wazi (Public Company) naye ni ameajiriwa na wanahisa(Shareholders), ana mshahara wake na anaweza kutimuliwa. Sasa unaposema kwamba wewe ni mwajiriwa tu au nyapara napata ukakasi.
NB: In a Public Company, unless A Director is a Shareholder, he's merely an employee with ordinary remuneration. And he reports to the Chairman of the Board of Directors (Board of Directors in General) and the Meetings of Shareholders (Be it annual or extra-ordinary). Sasa endelea kukomaa.....
